Publisher-ul legendarei serii Mortal Kombat, Midway se chinuie de mult cu situatia financiara astfel incat a ajuns la situatia de a completa azi formularul pentru faliment, numind aceasta situatie una dificila, dar necesara. Petitia voluntara orgainza sub Capitolul 11 (care inseamna ca vor sa continue activitatea) afecteaza toti actionarii din Statele Unite ale companiei, dar nu si pe cei din afara granitelor statului.

"Aceasta a fost o decizie dificila, dar necesa" a declara CEO-ul Midway Matt Booty. "Ne-am axat pe realinierea operatiunilor si pe imbunatatirea executiei, si aceasta completare va mai elibera din presiunea exercitata pe creditorii nostrii si ne va da un timp in care putem explora alternativele strategice. Completarea Capitolului 11 este urmatorul pas logic in continuarea procesului de a ne redresa."

"Midway spera sa treaca peste aceasta perioada, punandu-si bazele in vanzarile solide din al patrulea semestru care a intrecut asteptarile in ciuda climatului economic dificil", a adaugat Booty. "In total, MK vs DC Universe a vandut aproape doua milioane de unitati, TNA iMPACT! a vandut un milion de bucati, si franciza Game Party aproape a ajuns pragul de trei milioane de unitati".

Publisher-ul si developer-ul se asteapta ca aceasta protectie sa ajuta compania sa isi duca mai departe afacerile ca in mod normal, dar are nevoie de permisunea unei Curti inainte de a continua. Capitolul 11 inseamna ca vor sa continue, si capitolul 7, pe care nu l-au completat, inseamna ca vor sa lichideze.

GamePolitics s-au interesat de falimentul celor de la Midway si a aflat ca firma datoreaza $281 milioane, avand proprietati in valoare de numai de $167 milioane. Cel mai interesant insa este faptul ca au gasit o lista cu top 30 creditorii companiei:

• Wells Fargo Bank - $150,000,000
• National Amusements, Inc. - $20,147,864 (au platit pentru productia jocurilor lansate de Midway in perioada sarbatorilor)
• NBA Properties, Inc. - $17,294,849 (licente si roialitati)
• Warner Bros. Interactive - $6,654,203
• Epic Games - $1,975,000 (licente si roialitati - poate pentru Unreal Tournament?)

Si eu sunt alaturi de Midway. Seria Mortal Kombat cred ca a fost "jocul cu bataie" al multora dintre noi. Inca de la MK1 pe aparate pana la Mk vs Dc searia a fost foarte bine primita pe piata. Cum a spus si eXist, cred ca ar fi ideal sa mai faca un MK mai repede si poate ceva mai clasic cu jucatorii vechi, cu genul de fatalitatii mult mai sadice si sangeroase cum eram obisnuiti prin MK2 si MK3. Oricum le tinem pumnii si speram sa iasa si ei din "criza financiara".

MIDWAY INITIATES SECTION 363 SALE PROCESS

Warner Bros. Entertainment Emerges as "Stalking Horse" Bidder


CHICAGO – May 21, 2009 – Midway Games Inc. today announced that it has entered into a "stalking horse" asset purchase agreement with Warner Bros. Entertainment Inc., a subsidiary of Time Warner, Inc. (NYSE:TWX), and filed a sale and bid procedures motion with the Bankruptcy Court to conduct the sale of the Company’s assets pursuant to Section 363 of the United States Bankruptcy Code. The bid procedures will provide for notice to be given to third parties of the pending sale to Warner Bros. Entertainment and offer the opportunity for interested parties to bid on the Company's assets.

Under the agreement, Warner Bros. Entertainment would acquire substantially all of the Company's U.S. assets including its Mortal Kombat franchise and its development studios in Chicago and Seattle for a purchase price of $33,000,000, subject to adjustment as of the closing for changes in inventory, plus the agreed value of the Company's U.S. account receivables. The agreement does not include the Company's development studio in San Diego and the TNA franchise games, nor does it include the Company's development studio in Newcastle which had developed the Company's recently released Wheelman game.

Prior to court approval of the Warner agreement, there will be a court-supervised auction process to facilitate competitive bidding by other qualified buyers. This process is intended to achieve the highest value possible for the Company's stakeholders. The bidding procedures, if approved, would require interested parties to submit binding offers to acquire some or all of the Company’s assets within approximately 30 days of court approval of the bid procedures. Assuming qualified bids are submitted, an auction would be held a few days prior to the sale hearing. A court hearing approving the sale to the winning bidder or bidders would be held soon after the conclusion of the auction, followed by a final closing.

Once the bid procedures have been approved by the Bankruptcy Court, the Company will announce the initiation of the formal bidding process, and at such time interested parties will be asked to contact the Company's financial advisor, Lazard, for more information on the bidding process.
